Terms & Conditions -Omakase Circle Membership

These Terms & Conditions govern participation in the Sip Society Subscription Program (“Sip Society”) operated by UrbanPadstal (“UrbanPadstal”, “we”, “us”, or “our”) within the Republic of South Africa.
By purchasing or using a Sip Society subscription, you agree to these Terms & Conditions.
1. Nature of Membership
The Omakase Circle is a single-tier paid subscription offered by Open Bottle, a wine concept curated and hosted by Obento (Pty) Ltd t/a UrbanPadstal, operating at Shop 16, Parkmore Square, 11th Street, Parkmore, Gauteng.
2. Personal & Non-Transferable
Membership is strictly personal and non-transferable. Benefits, allocations, and event access may not be shared, gifted,
lent, or sold to any non-member.
UrbanPadstal reserves the right to suspend or cancel membership without refund in the event of proven transfer, resale
of allocated bottles, or fraudulent use of member privileges.
A member may bring one (1) guest to tasting events at a guest fee of R250 per person. This guest admission does not
confer membership or allocation rights.
3. Founding Member Status
Members who join prior to the official public launch of Open Bottle are designated Founding Members. Founding
Member pricing is locked for the duration of continuous, uninterrupted membership. Lapsing and rejoining at any point
forfeits the founding rate, and the prevailing standard rate will apply.

01 Monthly Tasting Event (Subject to availability)
An exclusive winemaker-hosted tasting event held for members only, scheduled on or around the second Wednesday of
each month. A member's spot is confirmed upon RSVP only — membership alone does not guarantee a seat. Urban
Padstal reserves the right to substitute the format or winemaker where necessary with reasonable notice.
02 Monthly Producer Card (Guaranteed)
A beautifully designed physical card featuring one boutique producer per month — their story in approximately 150 words,
three of their wines available by the glass at Open Bottle that month, and the sommelier's handwritten note. The card is
available for collection in-store or may be posted on request.
03 Retail Member Pricing (Guaranteed)
Members receive preferential discount pricing on purchases made from the Open Bottle and Urban Padstal retail store.
The discount percentage is set at UrbanPadstal's discretion and may be adjusted with 30 days' notice.
04 Member Allocation Access (Subject to availability)
Members receive first right of purchase on limited boutique runs, discovery wines, and rare single-vineyard expressions,
typically with fewer than six bottles available. Allocations are communicated via monthly WhatsApp notification. First right
of purchase does not guarantee supply. Non-members may taste allocated wines by the glass at the bar but may not
purchase bottles to take home.
05 Priority Event Access (Guaranteed)
Members receive invitations to all Open Bottle and Urban Padstal events seven (7) calendar days before invitations are
released to the general public.
5. Payments & Billing
Billing Cycle
Membership fees are billed monthly in advance on the date of initial sign-up. Payment is required to activate and
maintain membership.
Failed Payments
In the event of a failed payment, members will be notified immediately. A seven (7) day grace period is provided during
which the member may resolve the payment. Membership is paused — not cancelled — during this period. If payment is
not resolved within 7 days, membership will lapse and founding member pricing may not be reinstated.
Price Changes
Urban Padstal reserves the right to adjust membership pricing. Members will receive a minimum of thirty (30) days'
written notice via email before any price change takes effect. Members who do not wish to continue at the new rate may
cancel during this notice period without penalty.
Minimum Commitment
Founding members commit to a minimum initial term of three (3) consecutive months. This protects the integrity of the
founding cohort and the pre-launch offer. Standard cancellation rights apply from month four onwards.
6. Cancellation & Refunds

Refunds
Membership fees are non-refundable except where UrbanPadstal fails to deliver guaranteed benefits (Monthly Producer
Card or Priority Event Access) for two (2) or more consecutive months, in which case a pro-rata refund for the affected
period will be issued.
7. Tasting Events
RSVP Requirement
Tasting event attendance requires prior RSVP. Membership alone does not reserve a seat. Spots are allocated on a
first-RSVP basis.
Cancellations & No-Shows
Members who cancel their RSVP within forty-eight (48) hours of the event, or who do not attend without notice, forfeit
their spot for that month. No credit or rollover is provided.
Guest Policy
Each member may bring one (1) guest per event at a fee of R250 per guest, payable in advance. Guest fees are
non-refundable once payment has been made.
Event Changes
Urban Padstal reserves the right to change the event date, format, or featured winemaker with a minimum of five (5)
days' notice. In the event of full cancellation, members will not be charged for that month's event.
8. Data & Privacy (POPIA)
Urban Padstal is committed to compliance with the Protection of Personal Information Act, 2013 (POPIA). By joining
the Omakase Circle, you consent to the following:
What we collect: Full name, email address, phone number (WhatsApp), and purchase history.
Why we collect it: To administer your membership, communicate benefits and allocations, and personalise your Open
Bottle experience.
Who sees it: Urban Padstal staff only. Your data is never sold, shared with third parties, or used for any purpose beyond
membership administration and direct communications.
Communications: By joining, you opt into Omakase Circle communications including monthly producer cards, allocation
notices, and event invitations. You may unsubscribe from marketing at any time without affecting your membership status.
Your rights: You have the right to access, correct, or request deletion of your personal information at any time by
contacting info@urbanpadstal.co.za.
Retention: Your data is retained for the duration of your membership and for a period of five (5) years thereafter for
financial record-keeping purposes.
9. General Provisions
Force Majeure
UrbanPadstal shall not be held liable for failure to deliver any benefit where such failure results from circumstances
beyond our reasonable control, including but not limited to producer cancellations, load shedding, supply chain
disruptions, or public health restrictions. In the event a core benefit cannot be delivered for two (2) consecutive months,
members may cancel and receive a pro-rata refund for the affected period.
Amendments
Urban Padstal reserves the right to amend these terms at any time. Members will be notified of material changes via
email with a minimum of thirty (30) days' notice. Continued membership after the notice period constitutes acceptance of
the amended terms.
Right of Admission
Urban Padstal reserves the right of admission to all events and premises. Membership may be revoked without refund in
cases of disruptive, abusive, or dishonest conduct.
Governing Law
These terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of
2008, the Protection of Personal Information Act 4 of 2013, and the Electronic Communications and Transactions Act 25
of 2002. Any disputes shall be subject to the jurisdiction of the South Gauteng High Court.
Open Bottle is a licensed establishment. Alcohol is strictly not for sale to persons under the age of 18. Urban Padstal
promotes responsible alcohol consumption.
